Zooly: de softwareoplossing
Zooly is een Freelance Management System (FMS) – een softwareproduct en technisch en juridisch een gegevensverwerker. Het biedt de infrastructuur voor het bijhouden van gegevens en op mensen gebaseerde beslissingsondersteunende infrastructuur: de interface van de privémarktplaats, de btw-berekeningsengine, het dossier en de KYF-tools, het factureringsmechanisme voor het factureringsmandaat en de betalingsinstructierails. Zooly (de software) is geen bureau, geen arbeidsleverancier en zelf geen marktplaatsexploitant. Het heeft geen directe relatie met klanten of leveranciers. onafhankelijk van de MO die het exploiteert.
De Marktplaatsexploitant (MO): De Agent
De Marktplaatsexploitant is de entiteit die Zooly licentieert en exploiteert om B2B-relaties tussen Klanten en Leveranciers te vergemakkelijken. Of het nu wordt gerund door een aan Zooly gelieerde entiteit of
een onafhankelijke derde partij, de positionering van de MO is als volgt:
De MO treedt op als agent namens zowel klanten als leveranciers en heeft het factureringsmandaat en het betalingsmandaat (incasso en distributie).
De MO is de gegevensbeheerder: zij bezit de regels van de marktplaats en is juridisch en administratief verantwoordelijk voor de manier waarop deze wordt beheerd. Zooly handelt als gegevensverwerker alleen in opdracht van de MO.
Het doel van de MO is om opdrachten te faciliteren, niet banen, en om klanten Know Your Freelancer (KYF)-tools te geven, zodat menselijke beslissers – en niet de software – kunnen bevestigen dat een opdracht wordt gegeven.

The Dutch DBA Act (Deregulering Beoordeling Arbeidsrelaties) enforces joint responsibility of clients and contractors to prevent false self-employment. The Netherlands Tax Administration (Belastingdienst) assesses working relationships; if a zzp'er (self-employed professional) does not meet entrepreneurship conditions, they face additional tax assessments, repayment of tax benefits, and potential fines. Clients may owe payroll tax, pension contributions, and fines. From 1 January 2025, unintentional false self-employment triggers retroactive assessments; intentional cases can be backdated further. Model agreements remain valid until 2029 but do not guarantee protection. A new Self-Employment Act (Zelstandigenwet) is announced for 1 January 2028, introducing two tests for self-employment and a special commission.
